Applicable to individuals acting as voluntary referral associates for Ummeed Housing Finance Private Limited (UHFPL).
Background & Purpose
Ummeed Housing Finance Private Limited (“the Company” or “UHFPL”) is a registered Housing Finance Company regulated by the Reserve Bank of India. The Company may, from time to time, collaborate with individuals (“Power Partner/Saarthi Partner”) to assist in identifying and referring individuals who may be interested in learning more about the housing loan products offered by the Company.
These Terms and Conditions are intended to:
- Govern the role of Power Partner/Saarthi Partner as referral facilitators only, and
- Set clear expectations and boundaries to ensure regulatory and operational compliance.
Definitions
- Power Partner/Saarthi Partner: An individual who voluntarily shares contact details of persons (“Prospects”) who have expressed interest in exploring housing finance options. A Power Partner/Saarthi Partner is not a Direct Selling Agent.
- Lead: Basic contact information (such as name, phone number, location) of a prospect interested in being contacted by the Company.
- Prospect: A person who has expressed consent to be contacted by the Company regarding housing finance solutions.
- Confidential Information: Includes any non-public information received from the Company, including information about products, prospects, training material, or other Company-related data.
- Personal Identifiable Information (PII): Refers to any data that may be linked to a natural person, including contact information voluntarily shared by the Power Partner/Saarthi Partner.
Role of Power Partner/Saarthi Partner – Limited Scope
The role of the Power Partner/Saarthi Partner is strictly limited to:
- Referring names and contact numbers of individuals who have expressly consented to be contacted by the Company for home loan products.
- Entering such information into the Company’s digital reference system or communicating it through other prescribed channels.
The Power Partner/Saarthi Partner shall not:
- Collect or handle any documentation from prospects (including KYC, income proof, or loan-related paperwork),
- Make any representations or commitments about products or services,
- Perform any form of customer verification, assessment, or financial analysis,
- Engage in collections, application processing, or follow-up post-referral.
Applicability
These terms apply to any individual enrolled as a Power Partner/Saarthi Partner with the Company and accessing its referral systems. Power Partner/Saarthi Partner must agree to abide by this code prior to referring any lead. Violation of these terms may result in deactivation of access and termination of association.
Agreement Term
This arrangement remains valid until terminated by either party. Termination may occur through digital opt-out, inactivity, or breach of terms. The Company retains the right to update the terms from time to time.
Contact Permissions and Consent
Power Partner/Saarthi Partner may only submit leads:
- For individuals who have voluntarily expressed an interest in UHFPL products, and
- With the prospect’s verbal or written consent to be contacted by UHFPL.
Power Partner/Saarthi Partner may not contact or approach individuals indiscriminately or share unsolicited contact data.
Time of Contact (by Company only)
All contact with prospects will be conducted only by authorized Company personnel, during appropriate hours, as per industry norms.
Conduct Expectations – No Misrepresentation
Power Partner/Saarthi Partner must act in a professional and transparent manner. The following practices are strictly prohibited:
- Misleading any individual regarding the Company’s loan products or services.
- Misrepresenting themselves as employees, agents, representatives, or authorized decision-makers of the Company.
- Making any verbal or written commitments about:
- Loan amounts, eligibility,
- Sanction or disbursal timelines,
- Interest rates or processing outcomes.
Power Partner/Saarthi Partner may only say:
“I can share your contact details with Ummeed Housing Finance, and their team will get in touch with you if you're interested in a housing loan.”
No Involvement in Commercial Inducement or Bribes
Power Partner/Saarthi Partner are prohibited from:
- Accepting cash, gifts, or incentives from prospects or any third party in connection with referrals.
- Offering any gifts, favors, or financial inducements to potential prospects to influence referrals.
If a Power Partner/Saarthi Partner is offered any money or incentive by a prospect, they must immediately report it to the Company.
Eligibility to Become a Power Partner/Saarthi Partner
To enroll as a Power Partner/Saarthi Partner, the individual must:
- Be at least 18 years of age,
- Be a citizen of India, and
- Have access to a mobile phone or internet-enabled device to use the referral platform (if applicable).
There is no educational or financial qualification requirement. The role is open to individuals from all walks of life, including self-employed persons, shopkeepers, service workers, homemakers, etc.
Enrollment and Access
Individuals may enroll as Power Partner/Saarthi Partner by:
- Downloading or accessing the Company’s designated referral app/portal,
- Accepting these terms and the Referral Code of Conduct digitally,
- Submitting required basic details (e.g., name, contact info, bank account for incentive transfers).
Scope of Referral Activity
The Power Partner/Saarthi Partner’s role is limited to:
- Informing such individuals about UHFPL's offerings in a general, non-binding manner.
- Entering the prospect’s basic contact details (e.g., name, number, area) into the Company’s reference portal or sharing through approved channels.
What Happens After a Referral
Once a lead is submitted:
- The Company team will verify the information.
- If eligible, the Company will reach out to the prospect directly.
- All follow-ups, documentation (KYC, income proof), verifications, discussions, and loan decisions will be handled entirely by UHFPL staff.
Power Partner/Saarthi Partner are not required or authorized to:
- Collect any documents or payments,
- Conduct property or credit discussions,
- Influence loan decisions or processes in any way.
Communication
The Company may, from time to time:
- Provide brief educational sessions or video guides on how to refer leads,
- Share updates on how to use the referral app/portal,
- Issue simplified FAQs on how to engage with prospects ethically and legally.
Use of Branding and Communication Materials
Power Partner/Saarthi Partner are not authorized to represent or present themselves as part of the Company’s staff or team.
Accordingly:
- Power Partner/Saarthi Partner must not use the Company’s name, brand, logo, stationery, ID cards, or signage without written permission.
- Power Partner/Saarthi Partner may not engage in or organize any advertisements, campaigns, or promotional materials on their own.
If the Company provides printed leaflets or digital content (e.g., posters, WhatsApp images) for referral awareness:
- These materials may be used as provided, without alteration.
- They may only be distributed in personal capacity and not in any public or misleading manner.
Public Promotions or Campaigns
- The Company may from time to time run public awareness campaigns (e.g., “Refer & Earn” programs), and Power Partner/Saarthi Partner may be invited to participate.
- Any co-branded campaigns must be initiated by the Company. If the Power Partner/Saarthi Partner requests custom materials, the Company may provide them at cost and under approval.
Teamwork and Community Events
Power Partner/Saarthi Partner may be invited to participate in:
- Local events or awareness drives organized by UHFPL,
- Community outreach initiatives (e.g., housing loan awareness kiosks).
Participation is always voluntary and coordinated directly by the Company’s authorized staff.
Basic Training for Better Referrals
To help Power Partner/Saarthi Partner refer prospects effectively:
- The Company may offer basic training (in-person or online),
- Content may include how to talk to prospects, ethical do’s and don’ts, and how to use the mobile portal (if applicable).
There will be no financial or operational training, as Power Partner/Saarthi Partner are not responsible for loan processing or assessment.
Payout Structure and Incentives
Power Partner/Saarthi Partner may be eligible for incentive payments based on:
- The number of successful referrals that convert into disbursed loans, as per Company criteria.
Important Conditions:
- Payouts will be made only through direct credit to the Power Partner/Saarthi Partner’s verified bank account.
- No payouts will be made in cash, gifts, or kind.
- No guaranteed income is associated with this referral activity.
- All applicable taxes (e.g., TDS) will be deducted as per law.
Conditions for Incentive Eligibility
- If a referred lead is not converted into an approved loan, no incentive is payable.
- If a referral is found to be invalid, duplicated, or false, the Company reserves the right to:
- Reject the lead,
- Recover any undue incentives paid, and/or
- Suspend the Power Partner/Saarthi Partner’s referral privileges.
Payments and Adjustments
- Incentives are processed monthly (on a best-effort basis), based on successfully disbursed loans linked to the Power Partner/Saarthi Partner’s ID or mobile number.
- If an incorrect payment is made (e.g., due to system error or ineligibility), the Power Partner/Saarthi Partner agrees to refund the excess within a reasonable period.
- In case of non-refund, UHFPL may adjust the amount from future eligible payouts.
No Entitlement on Cancelled Loans
If a lead is disbursed but the loan is later cancelled, or found non-compliant, or the customer withdraws, then no incentive shall be payable for that case.
Record-Keeping and Information Accuracy
Power Partner/Saarthi Partner are expected to:
- Maintain basic records of referrals shared with the Company (e.g., date, prospect’s name, contact number).
- Ensure that all lead information submitted is accurate, genuine, and submitted with the prospect’s consent.
If requested, the Power Partner/Saarthi Partner shall provide supporting details of the referral submitted, such as:
- Date of referral,
- Method of obtaining consent, and
- Any follow-up communication (if applicable).
Access for Review and Clarification
While the Power Partner/Saarthi Partner is not involved in financial or customer processing activities, the Company may:
- Review referrals shared by the Power Partner/Saarthi Partner,
- Seek clarification in case of duplicate, invalid, or unverifiable leads,
- Conduct spot checks to ensure ethical behavior and compliance with terms.
This is to maintain integrity in the referral process.
Regulatory Access (RBI / NHB) – Not sure about this part
The Power Partner/Saarthi Partner agrees that:
- In case of regulatory audits or inspections by RBI, NHB, or any other lawful authority,
- The Company may be required to provide details of its referral ecosystem and engagement practices.
If any regulator seeks access to referral-related records or needs clarification, the Power Partner/Saarthi Partner agrees to cooperate in good faith and provide requested information within a reasonable timeline.
Note: This does not imply that the Power Partner/Saarthi Partner is under regulatory registration or licensing obligations, it is solely for Company-level compliance.
Nature of Relationship – Referral Only
The Power Partner/Saarthi Partner:
- Acts independently and voluntarily, only for the purpose of submitting referrals.
- Is not an agent, employee, DSA, or representative of Ummeed Housing Finance.
- Is not authorized to bind the Company in any manner, nor to collect documents, fees, or provide commitments to customers.
This is a non-exclusive referral arrangement. The Power Partner/Saarthi Partner may:
- Refer customers to other financial institutions, as long as the same lead has not been submitted to Ummeed Housing Finance,
- Continue to work in any personal or professional capacity, subject to ethical conduct and no misuse of UHFPL’s name.
Termination of Access or Participation
The Company may revoke the Power Partner/Saarthi Partner’s access or deactivate their referral ID in case of:
- Inaccurate or fraudulent referrals,
- Misrepresentation or unauthorized communication with prospects,
- Breach of any provisions of this agreement.
Upon termination:
- The Power Partner/Saarthi Partner must immediately cease using any Company-provided referral tools or branding (if any),
- No further referrals should be submitted or communicated under the Company’s name.
Termination of Referral Arrangement
The Company reserves the right to:
- Discontinue or revoke the Power Partner/Saarthi Partner’s referral access at any time,
- Do so with or without cause, by providing a written or digital notice,
- Deactivate the referral ID in case of inactivity, invalid submissions, or misuse.
The Power Partner/Saarthi Partner may also opt to discontinue participation by sending an email or withdrawing via the referral portal/app (if applicable).
Specific Grounds for Immediate Termination
Referral access may be terminated immediately if the Power Partner/Saarthi Partner:
- Submits inaccurate or false leads (e.g., incorrect numbers, fake names),
- Misrepresents themselves as a Company employee or loan officer,
- Accepts or requests any payment from prospects,
- Offers or implies loan approval guarantees or rates,
- Engages in unethical or misleading practices,
- Violates confidentiality obligations, or
- Is found soliciting or distributing Company-related branding without authorization.
No compensation shall be payable for any such breach.
Consequences of Termination
Upon termination:
- The Power Partner/Saarthi Partner must immediately cease submitting referrals to the Company.
- Any digital tools, app access, or materials provided by UHFPL (if any) must no longer be used.
- All branding or promotional content provided by the Company must be deleted or returned.
- The Power Partner/Saarthi Partner shall not present themselves in any way as being associated with the Company thereafter.
Any unpaid incentives related to valid, disbursed referrals prior to termination may be paid at the Company’s discretion, subject to clearance, verification, and compliance.
Prohibition on Unauthorized Representations
The Power Partner/Saarthi Partner and their associates must not make any statements, claims, or commitments on behalf of the Company, including:
- Product features, interest rates, or loan terms,
- Approval timelines or customer eligibility,
- Offering gifts, discounts, or prizes to influence a referral.
Only the Company’s authorized team may discuss or disclose any product details to prospects after a referral is submitted.
Confidentiality Obligations
The Power Partner/Saarthi Partner may come across limited information such as:
- Internal materials or tools for referrals,
- Non-public training content,
- Names of Company employees or systems.
The Power Partner/Saarthi Partner agrees to:
- Keep such information confidential,
- Not share, store, or forward any such material,
- Notify the Company immediately in case of any suspected breach.
These obligations:
- Survive termination, and
- Are enforceable through appropriate legal means if violated.
Legal Responsibility and Indemnity
The Power Partner/Saarthi Partner agrees to indemnify the Company against any loss, claim, or legal action arising from:
- False, unethical, or misleading referrals,
- Unauthorized use of branding or communication,
- Disclosure or misuse of confidential information,
- Improper contact with customers or use of customer data.
The Company shall not be responsible for any injury, loss, or liability incurred by the Power Partner/Saarthi Partner during the course of voluntary referral activity.
Minimum Referral Activity
The Company may, from time to time, communicate general expectations for referral participation (e.g., minimum number of referrals over a period). This is to:
- Encourage active participation,
- Maintain a meaningful engagement system.
Note: These expectations are indicative only and do not constitute a target or performance obligation.
The Power Partner/Saarthi Partner is not liable for shortfall, unless leads are found to be fraudulent or intentionally false.
Indemnity and Responsibility
The Power Partner/Saarthi Partner agrees to indemnify the Company against any direct losses or damages caused by:
- Submission of fraudulent, manipulated, or knowingly incorrect lead information,
- Any misrepresentation made to prospects using the Company’s name,
- Unauthorized use of confidential material, logos, or internal communication tools,
- Use of ex-personnel or third parties to continue submitting leads after deactivation or disassociation,
- Violation of the referral terms leading to reputational or operational risk to the Company.
The Power Partner/Saarthi Partner also agrees:
- To promptly return or remove all materials if requested post-termination,
- That indemnity obligations will survive the termination of this arrangement.
Third-Party Claims
The Company shall not be held liable for any action taken independently by the Power Partner/Saarthi Partner outside the scope of referral sharing.
If any third-party (e.g., prospect or competitor) raises a complaint or claim due to false promises, misuse of customer data, or unethical practices by the Power Partner/Saarthi Partner, then the Power Partner/Saarthi Partner shall solely bear the legal, financial, and reputational responsibility.
UHFPL may cooperate with authorities or aggrieved parties as needed.
Submissions and Personal Role
The Power Partner/Saarthi Partner:
- Shall carry out referral activity personally (not via sub-agents or other individuals),
- Shall not assign, delegate, or outsource their referral rights,
- Shall stop participating at any time with prior written notice or self-deactivation.
UHFPL may assign its rights to another entity in case of merger, acquisition, or internal reorganization.
Notices and Communication
- All formal communications related to this referral arrangement will be sent to the email address or mobile number registered by the Power Partner/Saarthi Partner.
- For legal matters, correspondence should be directed to the Company's registered office address as updated on its official website.
Dispute Resolution
In case of any dispute arising from this arrangement:
- Parties shall first try to resolve it amicably.
- If unresolved, it shall be referred to a sole arbitrator appointed by the Company, under the Arbitration and Conciliation Act, 1996.
- Arbitration will take place in Gurgaon (Haryana), in English language.
Legal Jurisdiction
All disputes, claims, or matters arising from this arrangement will be subject to the exclusive jurisdiction of courts in Gurugram, Haryana.
Waiver
Failure by the Company to enforce any part of these terms shall not be considered a waiver of its rights to enforce them later.
Amendments to Terms
These Terms may be updated by the Company periodically by posting a revised version on:
- The official referral app/portal,
- Or notifying the Power Partner/Saarthi Partner via registered contact details.
Continued access or use of the referral platform will be treated as acceptance of the updated terms.
